Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide notice through the Services or by email where appropriate. Your continued use after the changes become effective constitutes acceptance of the updated Terms.

Eligibility & Accounts

• You must be at least 16 years old (or the age of digital consent in your jurisdiction).
• You are responsible for the accuracy of your account information and for safeguarding your credentials.
• You must promptly notify us of any unauthorized access or use of your account.

Subscriptions, Credits & Billing

• The Services may be offered via subscription plans and/or usage-based credits. Plan features, limits, and pricing are described in the Services interface.
• Payments are processed by third-party providers (e.g., Stripe). By purchasing, you authorize the provider to charge your selected payment method.
• Unless stated otherwise, fees are non-refundable. Unused credits may expire as indicated in the Services.
• You are responsible for any applicable taxes, duties, or charges required by law.

Acceptable Use

• No unlawful, infringing, misleading, or harmful activity.
• No attempts to access non-public areas or disrupt the Services or infrastructure.
• No misuse of generated content to violate privacy, IP rights, or platform rules of third parties.
• No automated scraping or data extraction beyond what our APIs and documentation permit.

User Content & Generated Output

You retain ownership of your inputs and uploaded materials (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive license to host, process, and display it solely to provide and improve the Services. Generated outputs may be influenced by your inputs and model behavior.

AI outputs can sometimes be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing outputs and ensuring your use complies with applicable laws, platform policies, and third-party terms (e.g., social networks, AI vendors).

Third-Party Services

The Services may integrate with third-party providers (e.g., hosting, AI/ML, TTS, analytics, payment). Your use of such features may be subject to the third party’s terms and privacy practices. We are not responsible for third-party services and disclaim all liability arising from their acts or omissions.

Intellectual Property

We own all rights, title, and interest in and to the Services, including software, UI/UX, designs, and related documentation, excluding your User Content and third-party materials. No rights are granted to you except as expressly stated in these Terms.

Feedback

If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit such feedback for any purpose.

Confidentiality

Non-public information disclosed by either party that is marked or reasonably understood as confidential must be protected and used only for purposes of these Terms, except where disclosure is required by law.

Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, legal risks, or operational reasons. You may stop using the Services at any time. Upon termination, your rights to access the Services cease, but sections intended to survive will remain in effect.

Disclaimers

The Services and all content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or use. Our aggregate liability arising out of or relating to the Services shall not exceed the fees paid by you to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Calliope Labs from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

Export, Sanctions & Compliance

You must comply with all applicable export control, sanctions, and trade laws. You represent that you are not located in or a resident of any jurisdiction embargoed by your governing authorities and are not a prohibited party under applicable regulations.

Governing Law & Venue

These Terms are governed by the laws of Spain, without regard to conflict-of-laws rules. The parties agree to the exclusive jurisdiction and venue of the courts located in Madrid, Spain.

Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Services.
• Severability: If any provision is unenforceable, the remaining provisions will remain in full force.
• No Waiver: Our failure to enforce any right is not a waiver of such right.
• Assignment: You may not assign these Terms without our prior written consent.
• Notices: We may provide notices via the Services or to the email associated with your account.
