Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide notice through the Services or by email where appropriate. Your continued use after the changes become effective constitutes acceptance of the updated Terms.

Eligibility & Accounts

• You must be at least 16 years old (or the age of digital consent in your jurisdiction).
• You are responsible for the accuracy of your account information and for safeguarding your credentials.
• You must promptly notify us of any unauthorized access or use of your account.

Subscriptions, Credits & Billing

• The Services may be offered via subscription plans and/or usage-based credits. Plan features, limits, and current prices are published on our pricing page. The price and billing terms shown before you confirm a purchase apply to that purchase.
• Payments are processed by third-party providers (e.g., Stripe). By purchasing, you authorize the provider to charge your selected payment method.
• Unless stated otherwise, fees are non-refundable. Credits are non-refundable once purchased, allocated, reserved, or spent on processing or rendering.
• Credits may stack while your subscription is active. Subscription credits, also called plan credits, are allocated monthly on both monthly and annual plans. Each allocation remains valid for its monthly credit period and the following monthly credit period, then expires. Paying annually does not extend this validity to the end of the paid year. Changing between paid plans, including an upgrade or downgrade, preserves existing credits and their original expiration dates. All plan credits expire when the paid subscription ends or is otherwise terminated. Top-up credits, also called extra credits, survive cancellation, expire twelve (12) months after purchase, and are consumed only after plan credits have been used.
• Annual subscriptions are charged upfront, renew automatically, and allocate credits monthly. When a monthly subscription changes to annual, payment and the new plan take effect immediately after payment succeeds. The first annual term covers the remaining current monthly period plus eleven full months; the first payment and first credit allocation are proportional to that term and monthly period, respectively. Subsequent annual renewals cover a full year. Cancellation stops future renewal while access continues until the paid term ends.
• Refund requests are only considered during your first subscription billing period and are not available for renewals.
• Features described as “Unlimited”, such as Fast and Captions-Only clips, carry no per-use credit charge but remain subject to plan eligibility and our Fair Use Policy.
• You are responsible for any applicable taxes, duties, or charges required by law.
• Account storage is subject to plan limits. If your paid subscription is not renewed for more than six months, we may permanently delete stored files, generated assets, uploads, and render outputs associated with your account.

Affiliate Program

• Affiliate commissions are calculated on eligible referred revenue, excluding taxes, refunds, chargebacks, discounts, and fees.
• Only subscription payments earn commissions; extra credit purchases do not.
• Self-referrals, brand bidding, coupon abuse, fake accounts, misleading promotions, and other abusive activity are prohibited.
• Commissions and payouts may be reviewed, adjusted, withheld, or voided for fraud, refunds, chargebacks, policy violations, or invalid attribution.
• Commissions from monthly subscriptions can be redeemed as Calliope credits immediately; cash withdrawals become available after 45 days. Commissions from annual subscriptions become available for both credits and cash 15 days after the qualifying payment. Cash withdrawals require a minimum balance of $50 and are paid via Stripe or Wise only.
• The affiliate program is not available to residents of Nigeria.
• Payouts are subject to the published minimum payout threshold, payout term, tax form requirements, and any payment provider limitations.

Template Marketplace

• Creators earn 10% of eligible credits spent by another user on a published template only after that user completes a job with a downloadable final video. Each completed job counts as one use.
• Retries and regenerations do not add uses or earnings. A first animation can earn once after its result is completed and downloadable; reanimations do not.
• Marketplace earnings are subject to refunds, fraud review, and a $50 minimum cash withdrawal.

Acceptable Use

• No unlawful, infringing, misleading, or harmful activity.
• No attempts to access non-public areas or disrupt the Services or infrastructure.
• No misuse of generated content to violate privacy, IP rights, or platform rules of third parties.
• No submitting, clipping, or publishing videos you do not own or are not authorized to use, and no removing or altering copyright notices, watermarks, or other rights-management information.
• No using real people’s images or voices to impersonate them or to create misleading content without their consent.
• No automated scraping or data extraction beyond what our APIs and documentation permit.

User Content & Generated Output

You retain ownership of your inputs and uploaded materials (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive license to host, process, and display it solely to provide and improve the Services. Generated outputs may be influenced by your inputs and model behavior.

This license includes conversations you hold with our assistants and chat features: we may retain and analyze them, including after you remove them from your interface, to improve our products, services, and AI features.

AI outputs can sometimes be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing outputs and ensuring your use complies with applicable laws, platform policies, and third-party terms (e.g., social networks, AI vendors).

Use of the Extract Style feature, with a video link or an uploaded video, is also governed by our Video Style Extraction Policy.

Clipping & Source Videos

• You may only submit videos, by upload or by link, that you own or are authorized to use. You are solely responsible for obtaining every right, license, consent, and release needed to process the video, create clips from it, and publish them, including from the people who appear or speak in it.
• Submitting a link instructs us to retrieve and process that video on your behalf. It does not transfer or license any rights in the video to you, and we do not review or verify your rights before processing it. Your use must also comply with the terms of the platform that hosts the source.
• To create clips we automatically transcribe speech, separate speakers, and detect faces and subjects to frame each clip, as described in our Privacy Policy.
• Clips are derived from your source video: your rights in them are limited to your rights in the source, and you are responsible for how and where you publish them.

Fonts, Caption Styles & Licensed Assets

• Fonts, emoji, caption and text styles, animations, templates, stock media, and other assets provided in the Services are owned by us or licensed from third parties, many fonts under the SIL Open Font License. You may use them only as rendered into outputs you create with the Services, and you may not extract, redistribute, resell, or use their underlying files outside the Services.
• Stock media remain subject to the license terms of the libraries that provide them.
• Style or preset names that refer to creators, brands, or platforms only describe a visual style and do not imply any affiliation with or endorsement by them. All trademarks belong to their respective owners.

Demos & Examples

Sample clips, videos, images, captions, and other examples shown on our website and in the Services are for illustration only, and your results depend on your source video and settings. Third-party footage, names, likenesses, and marks that appear in them belong to their respective owners, are shown only to demonstrate the Services, and do not imply affiliation, sponsorship, or endorsement. If you believe an example uses your content or likeness without permission, contact us and we will review it and remove it where appropriate.

Copyright Complaints

If you believe that material processed, hosted, or shown through the Services infringes your copyright, send a notice to contact@calliopelabs.co that includes: (a) the work you claim is infringed; (b) the material you claim is infringing and where it is located, such as a URL; (c) your name and contact details; (d) a statement that you believe in good faith that the use is not authorized by the owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner’s behalf; and (f) your physical or electronic signature.

We may remove or disable access to the material and notify the user who provided it, who may send us a counter-notice. We terminate, in appropriate circumstances, the accounts of users who repeatedly infringe.

Third-Party Services

The Services may integrate with third-party providers (e.g., hosting, AI/ML, TTS, analytics, payment). Your use of such features may be subject to the third party’s terms and privacy practices. We are not responsible for third-party services and disclaim all liability arising from their acts or omissions.

Intellectual Property

We own all rights, title, and interest in and to the Services, including software, UI/UX, designs, and related documentation, excluding your User Content and third-party materials. No rights are granted to you except as expressly stated in these Terms.

Feedback

If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit such feedback for any purpose.

Confidentiality

Non-public information disclosed by either party that is marked or reasonably understood as confidential must be protected and used only for purposes of these Terms, except where disclosure is required by law.

Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, legal risks, or operational reasons. You may stop using the Services at any time. Upon termination, your rights to access the Services cease, but sections intended to survive will remain in effect.

Disclaimers

The Services and all content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or use. Our aggregate liability arising out of or relating to the Services shall not exceed the fees paid by you to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Calliope AI Content Automation LLC from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

Export, Sanctions & Compliance

You must comply with all applicable export control, sanctions, and trade laws. You represent that you are not located in or a resident of any jurisdiction embargoed by your governing authorities and are not a prohibited party under applicable regulations.

Governing Law & Venue

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-laws rules. The parties agree to the exclusive jurisdiction and venue of the courts located in New Mexico, United States.

Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Services.
• Severability: If any provision is unenforceable, the remaining provisions will remain in full force.
• No Waiver: Our failure to enforce any right is not a waiver of such right.
• Assignment: You may not assign these Terms without our prior written consent.
• Notices: We may provide notices via the Services or to the email associated with your account.
